Announcement of the OTP Bank Plc. concerning the Company s General Meeting Reference number: IR-077/2011 30 March 2011 The Board of Directors of OTP Bank Plc. (H-1051 Budapest, Nádor u. 16.) herewith informs its shareholders that the Company will hold its Ordinary Annual General Meeting on Friday 29 th of April 2011 at 10:00 a.m. in the Danubius Thermal & Conference Hotel Helia (H-1133 Budapest, Kárpát u. 62-64.). I. The agenda of the General Meeting: 1. Financial Reports of the Company on 2010 in accordance with the accounting law (unconsolidated report of OTP Bank according to the Hungarian accounting standards and the IFRS-based consolidated report), a proposal for distribution of after tax profit of the Bank: The 2010 Business Report of the Board of Directors; Financial Statements of OTP Bank Plc. on 2010; Proposal for the distribution of the 2010 profit after tax of OTP Bank Plc. Report of the Supervisory Board on 2010 Financial Reports and proposal for distribution of after tax profit of the Bank Report of the Audit Committee on 2010 Financial Reports and proposal for distribution of after tax profit of the Bank Report of the Auditor on the results of the audit of the 2010 Financial Reports 2. Decision on the approval of the report on Corporate Governance 3. Evaluation of the activities of the management in the business year, decision on granting discharge of liability 4. Report of the Board of Directors on the Bank s Business Policy for 2011 5. Election of the Company s auditor, approval of the appointment of official responsible for auditing, setting the remuneration 6. Proposal to modify the ByLaws. (sections 8.18., 8.33.4., 8.33.15., 9.13.b), 9.13.c), 11.1., 11.11. and 11/A. ) 7. Modification of the rules of procedure of the Supervisory Board 8. Election of the members of the Board of Directors 9. Election of the members of the Supervisory Board (and the members of the Audit Committee) 10. Approving the remuneration guidelines of OTP Bank 11. Establishing the remuneration of the members of the Board of Directors, the Supervisory Board (and the Audit Committee) 12. Authorization of the Board of Directors to the acquisition of own shares Shareholders possessing at least 1% of totally issued shares may propose in writing issues with reasoning to the Board of Directors for the agenda of the AGM. The minority shareholders may exercise such right within eight days following the publication of the current Announcement. The Board of Directors is obliged to put such motion for the Agenda of the AGM and make it public according to 15. of the By-law.

II. III. The participation in the General Meeting and exercising the right to vote are subject to the following: a) the shareholder verification effectively verifies the possession of shares at the date of the shareholder verification; b) the shareholder should be effectively entered into the Company s Share Register by the deadline set in Article III. of the current Announcement; c) the authorized representative should identify the shareholders being represented according to point III. of the current Announcement; d) the ownership of the shares or the voting right relating to the ownership of the shares shall not violate the provisions of the By-Laws, which circumstance shall be verified through monitoring by the Company. The Company will obtain shareholder verification from KELER (Central Depository) for the AGM. The date of shareholder verification is 21 April 2011 (Thursday). As to the shareholder verification all the relevant rules are set by the effective Regulation of KELER. At the time of shareholder verification the Company will delete all data from its Share Register and simultaneously will replace them with the latest result of the shareholder verification in the Register and will close it down at 12:00 noon local time with two working days prior to the AGM. Thereafter any notes related to shareholders holding can be made the earliest only one day after the AGM being accomplished. At the AGM only those persons are entitled to exercise their voting rights whose names had been registered in the Shareholder registry at its closure. The closure of the Shareholder registry will not limit the right of the registered shareholder to transfer his/her shares once the registry has been closed. If a share has been transferred prior to the effective date of the AGM, its new owner can participate at the AGM and can exercise all the shareholders rights. According to 153.. (3) of the Act CXX of 2001 on the Capital Market the Company draws the attention of the shareholders legal representatives to the rule that the latest until 16:00 local time, two working days prior to the AGM they have to identify the shareholders they represent (name/company name, address/ headquarters and the exact number of shares held). In case the shareholders legal representative fails to meet those requirements in a timely manner, according to the law they can t exercise their voting rights. IV. The General Meeting is going to be performed with the personal participation of the authorised persons. Shareholders may participate in the General Meeting in person or through their authorised representatives. Authorisations must be issued in the form of a notarised deed or a private document with full validity as evidence. A single representative may represent several shareholders, however he/she has the posses with an authorization either in forms of a notarial document or private deed. In case the authorisation was issued outside Hungary, its formal requirements must satisfy the statutes of law concerning the certification and/or legalisation of documents issued outside Hungary. Information on the subject may be obtained from the foreign representations of the Republic of Hungary. In case the shareholder is represented at the General Meeting by its legal representative (e.g. director, managing director, mayor etc.), the original authorization or the one verified by a public notary can not be older than 30 days the deed issued by the court or court of registration concerning the representation, or a certificate concerning the election of the mayor must be presented at the venue of the General Meeting. Authorizations shall be handed over till 22nd of April 2011 at any of the OTP branches as specified in Article X. All other rules related to the authorization can be read at branches listed in X. point. V. Registration at the venue of the General Meeting starts at 8:00 a.m. and ends at 10:00 a.m. the latest. Provided the conditions for attending the General Meeting and of exercising voting rights are met, at the venue of the General Meeting, the shareholder or his authorised representative having 2

provided the proof of his identity and signed the record of participants will receive the shareholder s voting terminal, entitling him to vote and participate in the General Meeting. VI. We would like to call the attention of our esteemed shareholders that attendance and voting at the General Meeting are subject to observing the provisions contained in Articles III., IV. and V. of the present Announcement. VII. Should the General Meeting fail to constitute a quorum by 11:00 a.m. on 29 th of April 2011, the Board of Directors shall convene the General Meeting for 11:00 a.m. on 29 th of April 2011, at the same venue, with the agenda specified under Article I. This General Meeting shall be considered a quorum irrespective of the number of shareholders present. VIII. We inform our shareholders that the Information Leaflet concerning the registration into the Company s Share Register and participation in the General Meeting may be examined at the OTP branches designated and listed under Article X. of these presents from the 30 th of March 2010. We recommend our shareholders who intend to participate in the General Meeting to liaise with the investment service provider who manages their securities account regarding the obligations and deadlines for the shareholder identification made by KELER. IX.
