1 Articles New EU Place-of-Supply Rules for Services Patrick Wille* On 12 February 2008, the Council adopted the VAT package, which consists of two Directives and a Regulation. One of the Directives contains amendments to the rules concerning the place of supply of services, which are aimed at ensuring that most types of service will be taxed in the Member State of consumption. The Directive also provides for the possibility for taxable persons who supply certain services to non-taxable customers to meet their VAT reporting obligations for the entire European Union in a single Member State (under the onestop-shop arrangements). In this article, the author discusses the new place-of-supply rules and several topics directly relating thereto. 1. Introduction On 12 February 2008, the Ecofin Council adopted the VAT package, 1 which consists of two Directives and a Regulation. One of the Directives contains amendments to the rules concerning the place of supply of services, which are aimed at ensuring that most types of service will be taxed in the Member State of consumption. The Directive also provides for the possibility for taxable persons who supply certain services to non-taxable customers to meet their VAT reporting obligations for the entire European Union in a single Member State (under the one-stop-shop arrangements), hence reducing their VAT compliance cost. The other Directive contains a new procedure for refunds of VAT to taxable persons established in another Member State and the Regulation makes improvements to the mechanism for cooperation between the Member States aimed at preventing VAT evasion under the new system. This article focuses on the new place-of-supply rules and topics directly relating thereto. Where reference is made to articles, the articles are those of the current VAT Directive New Place-of-Supply Rules According to the European Commission s strategy to improve the functioning of the Community VAT system, all services must in principle be taxed at the place where they are effectively consumed. 3 Consequently, under the new rules applicable from 1 January 2010, services carried out for the benefit of taxable persons ( B2B services ) are generally deemed to be supplied at the place where the recipient of the service is established. Under the current rules, services are generally deemed to be supplied at the place where the service provider is established. However, there are so many exceptions to the general rule that, in practice, most services capable of being supplied across borders are already deemed to be supplied at the place where the recipient is established. In order to determine the place of supply of services, the new rules make a distinction depending on whether the recipient of the service is a taxable or non-taxable person. In this context, taxable persons who are also engaged in non-taxable activities will be treated as taxable persons in respect of all services they receive, even if they will use the services for their non-taxable activities. Likewise, non-taxable legal persons who are identified for VAT purposes will be considered to be taxable persons for the purposes of the place-of-supply rules. Adoption of this new concept of taxable person is apparently partly motivated by the intention to reduce the administrative burden of the VAT system on the business community. In respect of services supplied to non-taxable persons ( B2C services ), the general place-of-supply rule will remain unchanged. The place of supply will continue to be the place where the service provider has established the seat of his business activity. There are, however, a considerable number of exceptions to the new general B2C place-of-supply rule. In respect of specific services, regardless of whether the recipient of the services is a taxable or non-taxable person, the general B2B and B2C place-of-supply rules do not apply and special rules apply instead. Where taxable persons established within the European Union receive services that are subject to VAT under the new general B2B place-of-supply rule from a service provider who is not established in the customer s Member State, the VAT due on those services must be remitted to the tax authorities by the customer, under the * Managing Director of VAT Forum CV, VAT Applications NV, WP&B NV and VAT House Services NV. From 1 January 2015, the VAT due on electronic services, telecommunications and broadcasting services supplied to non-taxable persons resident within the European Union may be collected from the non-resident service provider under the onestop-shop arrangements. It is still the intention of the Commission and several Member States to extend that mini arrangement to all other businesses making crossborder supplies to non-taxable persons resident within the European Union, in order to prevent that those suppliers must be registered in all Member States where their customers are resident. 3. Concept of Taxable Person Under the new Art. 3, for the purpose of applying the rules concerning the place of supply of services: a taxable person who also carries out activities or transactions that are not considered to be taxable supplies of goods or services in accordance with Art. 2(1) must be regarded as a taxable person in respect of all services rendered to him; and a non-taxable legal person who is identified for VAT purposes must be regarded as a taxable person. According to the preamble to Directive 2008/8, these provisions, in accordance with normal rules, should not extend to supplies of services received by a taxable person for his own personal use or that of his staff. The practical consequences of that provision are not entirely clear. Where, apart from his economic activities, a taxable person is also engaged in non-economic activities, for example holds shares in other companies without being involved, directly or indirectly, in their management or, where he is a natural person, is also working under a contract of employment, the B2B place-of-supply rules should apply to all services supplied to him. Therefore, services subject to the general B2B place-of-supply rule will always be deemed to be supplied at the place where the recipient of the services is established, regardless of whether or not the services are destined for the customer s economic activity. Consequently, partial taxable persons, such as persons who work part-time for wages and part-time as an independent service provider, should also be treated as a taxable person for all services they receive in their capacity as an employee. Example 1 Teachers X and Y are employed by the same school in Belgium. In addition to his activities as a teacher, X acts as a self-employed adviser, for which he qualifies as a taxable person; Y is a full-time employee. In preparing their lessons, both teachers receive in 2010 information by telephone or from an information source in the United States under a subscription for which they pay USD 1,000 per year. The services received by X should be subject to Belgian VAT because, under the general B2B place-of-supply rule, read in conjunction with the new Art. 43, the services are deemed to be supplied at the place where the customer is established or resident. The services received by Y will be free of any VAT because the customer is not engaged in any economic activity at all and, consequently, under the general B2C place-of-supply rule, the services are deemed to be supplied at the place where the service provider is established (United States). Where a non-taxable legal person, who is identified for VAT, for example for the purposes of his intra-community acquisitions of goods, receives services subject to the general B2B place-ofsupply rule from abroad, the place of supply will always be the place where the non-taxable legal person is established, even if the customer is not at all engaged in any economic activity. Those new provisions raise a number of questions concerning their consistency. Example 2 Local authorities X, Y and Z are located in the same EU Member State (for example, Belgium) and, in 2010, they rent computers from a Swiss rental company. X has a VAT identification number because, in 2009, it has made intra-community acquisitions to an amount of more than EUR 11,200. Y has no VAT identification number because, in 2009 and 2010, it has not made any intra- Community acquisitions or, if it has acquired goods from another Member State, the value of those goods remained below the acquisition threshold and Y has not opted for taxation of its intra-community acquisitions. Z has no VAT identification number, although it exceeded the intra-community acquisition threshold in This oversight is discovered and corrected in 2011 (i.e. after it rented the computers). Under the general B2B place-of-supply rule, rental of the computers to local authority X will be subject to 21% Belgian VAT, which X cannot recover. By contrast, rental of the computers to Y will not be subject to Belgian VAT under the general B2C placeof-supply rule, unless Belgium applies the effective-use-andenjoyment criterion (see ), which Belgium currently does not do; the rental does not bear any Swiss VAT either because, from Swiss perspective, municipality Y is a non-resident customer. Under strict interpretation of the place-of-supply rules, Z does not incur any VAT on the rental contract in 2010 either. The unequal treatment of the services supplied to the three municipalities could have been prevented if the new Art. 3 would have provided that non-taxable legal persons, regardless of whether or not they have a VAT identification number, must be treated as a taxable person for the purposes of the place-of-supply rules. In view of the text of the new Art. 3, there is a good chance that, in order to prevent non-taxation, many EU Member States will extend the use of the effective-use-andenjoyment criterion laid down by the new Art. 59a. 4. New Place-of-Supply Rules From 1 January 2010, the EU place-of supply rules consist of two general rules (see.1. and.2.) and a number of specific rules, which take precedence over the general rules (see.3.) General B2B place-of-supply rule Under the new Art., the place of supply of services to a taxable person acting as such is the place where that person has established his business or has a fixed estab-. 3 Articles lishment to which the services are supplied. It should be noted that the general B2B place-of-supply rule only applies where the recipient of the services is a taxable person acting as such, which means that that rule does not apply where the customer, although he is a taxable person, does not act in that capacity. Example 3 Where, in 2010, a self-employed consultant resident in Belgium receives advice from a Swiss adviser on a private inheritance issue, the customer does not receive the service in his capacity as a taxable person, which means that the general B2B place-ofsupply rule laid down by the new Art. 44 does not apply and the service is not subject to VAT at the place where the customer is established (in Belgium). Where, under a labour contract, that Belgian self-employed consultant also lectures at a university in Switzerland and, in that context, asks a Swiss adviser for advice on a tax issue relating to his lecturing job in Switzerland, the general B2B place-ofsupply rule laid down by the new Art. 44 should apply from However, that rule does not apply because the customer receives the service in his capacity as a salaried professor, not in his capacity as a taxable person General B2C place-of-supply rule Under the new Art. 5, the place of supply of services to a non-taxable person is the place where the supplier has established his business or, if those services are provided from a fixed establishment of the supplier, the place where that fixed establishment is located. Example 3a In example 3, the Belgian self-employed consultant and parttime professor received, in his capacity as an employee, advice from a Swiss adviser in The conclusion was that that service was not subject to the general B2B place-of-supply rule because the recipient of the service did not act in his capacity as a taxable person, which should mean that the service is subject to the general B2C place-of-supply rule. However, the latter rule does not apply either because it is limited to services supplied to non-taxable persons and, under the new Art. 43(1), customers who also act as an independent consultant must be treated as a taxable person for the purposes of the place-of-supply rules. The question is therefore where services are deemed to be supplied if, under strict interpretation, they are not covered by either the general B2B and B2C place-ofsupply rules or any of the specific place-of-supply rules. Perhaps the new Art. should have been phrased as follows: The place of supply of services to a taxable person, shall be the place where that person has established his business. In order to prevent double or non-taxation, the Member States have the option to make use of the new Art. 59a to tax services at the place where they are effectively consumed. However, that effective-use-and-enjoyment criterion can only be applied to services whose place of supply is governed by the new Arts. and 5 (and 56 and 59), which means that also the new Art. 59a is not capable of filling the gap between the two general placeof-supply rules Exceptions The general B2B and B2C place-of-supply rules do not apply to a number of services. One group of exceptions is limited to B2C situations, i.e.: intermediary services (see.3.1.); transport of goods (see.3.3.) and services ancillary thereto (see.3.5.); work on goods (see.3.6.); and electronically supplied (see.3.9.) and intellectual services (see and.3.11.). The other group of exceptions covers both B2B and B2C situations, i.e.: services relating to immovable property (see.3.2); passenger transport (see.3.3.); admission and organization of events (see.3..); restaurant transactions (see.3.7.); and short-term hiring of vehicles (see.3.8.). The system of place-of-supply rules is completed by an effective-use-and-enjoyment criterion, which has the effect of shifting, depending on the place where the services are effectively used and enjoyed, the place of supply of services from the territory of a Member State to a place outside the European Union or from a place outside the European Union to the territory of a Member State (.3.12.) Intermediary services Under the new Art. 6, the place of supply of services rendered to a non-taxable person by an intermediary acting in the name and on behalf of another person is the place where the underlying transaction is supplied. This exception only applies to B2C situations and the rule applicable from 1 January 2010 is identical to the currently applicable rule. B2B intermediary services are subject to the general B2B place-of-supply rule, and so the place of supply is where the recipient of the service is established. Consequently, from 1 January 2010, the VAT identification number under which the customer receives the intermediary service can no longer change its place of supply Services connected with immovable property After 1 January 2010, the place of supply of services connected with immovable property will remain the place where the immovable property is located, both for B2B and B2C situations. This rule applies to the construction and maintenance of buildings, as well as to, inter alia, the following services: services of experts and estate agents; provision of accommodation in the hotel sector or in sectors with a similar function, such as holiday camps or sites developed for use as camping sites; granting of rights to use immovable property; 10 INTERNATIONAL VAT MONITOR JANUARY/FEBRUARY 2009 IBFD

4 Articles services for the preparation and coordination of construction work, such as the services of architects and of firms providing on-site supervision. 5 An estate agent established in Member State 1 who intervenes in the letting of a building in Member State 2 will, regardless of where the landlord or tenant is located, have to charge the VAT of Member State 2 because the building is located in that Member State. However, the estate agent does not have to charge that VAT on the invoice if the customer is a taxable person established in Member State 2 and that Member State has made use of its power to extend the reverse charge mechanism to supplies other than the services for which application of the reverse charge mechanism is compulsory Transport services Passenger transport Under the new Art. 8, the place of supply of passenger transport continues to be the place where the transport takes place, proportionate to the distances covered. This rule applies to both B2B and B2C situations. Despite its intention to reduce administrative burdens on businesses, the European Commission has apparently not been successful in having this rule abolished, which is in practice almost impossible to apply correctly. The situation would still be manageable if the zero rate applicable to international passenger transport by air and sea would have been extended to international passenger transport over land. In that case, only national passenger transport would actually be subject to VAT and this would normally not result in problems. B2C transport of goods Under the new Art. 9, the place of supply of the transport of goods to non-taxable persons is the place where the transport is carried out, proportionate to the distances covered. However, there is an exception to this rule for intra-community transport of goods. Under the new Art. 50, the place of supply of the intra-community transport of goods to non-taxable persons is the place of departure of the transport. The rules applicable to transport of goods in B2C situations will not be changed from 1 January Just like under the current rules, transport companies will only need an extra VAT registration in respect of intra-community transport of goods that begins in a Member State where they are not established. B2B transport of goods In B2B situations, transport of goods is subject to the general B2B place-of-supply rule, which means that all types of transport services are subject to VAT at the place where the recipient of the services is established. In respect of intra-community transport of goods, the VAT identification number under which the customer receives the service can no longer affect the place of supply. Consequently, where the transport company and customer are established in the same Member State, the transport company will in principle have to charge VAT to his customer in respect the transport service, regardless of whether the transport takes place within the Member State, within the European Union or outside the European Union. That means that the customer can no longer prevent that he has to finance the VAT on intra- Community transport of goods by using a VAT identification number issued to him in another Member State. Where it is linked to the importation of goods into, or the exportation of goods out of, the European Union, the transport service is zero rated. On the other hand, in respect of intra-community transport of goods carried out by order of a business that is not registered in the European Union, the rule under which the place of supply is the place where the transport departs will no longer be applicable from 1 January For recipients of transport services who are established within the European Union and are not entitled to deduct input VAT, the new place-of-supply rules will lead to higher costs, unless the Member State where they are established applies the effective-use-and-enjoyment criterion laid down by the new Art. 59a. The costs will be higher because, from 1 January 2010, all transport services will be subject to VAT in the Member State where the recipient of the service is established and the zero rate can only be applied where the goods are imported into the European Union or exported out of it. Example 4 A museum, established in a Member State, which lends out exhibits in 2010 and has them transported between two countries outside the European Union, will be charged VAT on the invoice it receives for the transport service if the transport company is established in the same Member State, or will have to account for VAT under the reverse charge mechanism if the service provider is established outside that Member State. Under the assumption that the museum s transactions are exempt from VAT under Art. 132(1)(n), that VAT is nondeductible. However, if that Member State would apply the effective-useand-enjoyment criterion laid down by the new Art. 59a to transport of goods, the place of supply shifts to a place outside the European Union and the museum does not incur any VAT, at least not European VAT. For taxable persons established outside the European Union, application of the effective use and enjoyment criterion may have a more dramatic effect, which can be illustrated on the basis of the following example. Example 5 A German transport company transports goods by road from Germany to Portugal on behalf of a business in Switzerland. The Swiss business is only registered in Portugal because it has a warehouse there and must be registered in order to report its 5. New Art. 6. IBFD INTERNATIONAL VAT MONITOR JANUARY/FEBRUARY

5 Articles intra-community supplies of goods and account for VAT on its intra-community acquisition of goods effected at the place where the warehouse is located. The warehouse does not constitute a fixed establishment because no purchase or sales activities take place there. Until the end of 2009, the Swiss company receives the transport services under its Portuguese identification number, which enables the German transport company not to charge VAT on the related invoices. The Swiss company accounts for the Portuguese VAT due on the intra-community transport of the goods under the reverse charge mechanism through its periodic VAT returns filed in Portugal. Should the Swiss company not have given its Portuguese VAT identification number to the German transport company, then the intra-community transport of goods would have been subject to German VAT (transport of the goods begins in Germany) and the transport company would have charged that VAT to its Swiss customer on the related invoice. From 1 January 2010, under the new Art. 44, the place of supply of the intra-community transport of goods from Germany to Portugal is outside the European Union, i.e. in Switzerland where the recipient is established, unless the Member States through which transport actually takes place (Germany, France, Spain and Portugal) apply the effective use and enjoyment criterion laid down by the new Art. 59a. In the latter case, part of the entire transport operation will be subject to German, French, Spanish and Portuguese VAT and the German transport company will have to be registered in those Member States and charge the VAT due in the respective Member States to its Swiss customer, unless the latter must account for VAT there under the optional reverse charge mechanism based on the current Art. 194(1). 6 If the German transport company were to account for VAT due in the four Member States concerned and is registered for VAT purposes there, the question still remains as to how the total transport fee must be apportioned to the four Member States. The most obvious solution would be to apportion the total fee proportionately to the distances covered. However, from 1 January 2010, that criterion formally only applies to passenger transport and to B2C transport of goods. Even if it would be clear how the total transport fee would have to be apportioned to the respective Member States, the German transport company would, for practical reasons, have to issue a separate invoice for the supply made in each of the Member States involved because the Swiss company would have to reclaim that VAT under the procedure laid down by the Thirteenth VAT Directive in each Member State. That refund procedure will not change on 1 January 2010, which means that the Swiss company s refund applications must be accompanied by the original invoices relating to its claims. It can hardly be imagined that the European legislature has intended to make the VAT system so complex for companies established outside the European Union receiving intra-community transport services. A practical solution, which nonetheless prevents abuse, would be that the Member States refrain from applying the new Art. 59a, if the recipient of the service is entitled to reclaim that VAT in full. Moreover, it could be stipulated that, for transport services, the place of effective use and enjoyment of the services is the place where the service provider is established or has a fixed establishment from which the service is provided, in other words, not the place(s) where the transport is actually carried out Services linked to events Under the new Art. 53, the place of supply of services and ancillary services relating to cultural, artistic, sporting, scientific, educational, entertainment or similar activities, such as fairs and exhibitions, including the supply of services of the organizers of such activities, is the place where those activities are physically carried out. That rule is practically identical to the current rule, which applies and will continue to apply to both B2B and B2C situations until the end of From 1 January 2011, a distinction must be made between B2B and B2C situations and, as regards B2B situations, between admission to, and organization of, those events. For B2B situations, only admission to cultural, artistic, sporting, scientific, educational, entertainment or similar activities, such as fairs and exhibitions, and services ancillary to admission, will remain subject to VAT at the place where these events effectively take place. From 1 January 2011, the services provided by organizers of such activities, and ancillary services, will come under the general B2B place-of-supply rule, which means that the place of supply is where the recipient of the services is established. However, in respect of the services provided by organizers of cultural, artistic, sporting, scientific, educational, entertainment or similar activities, Member States may apply the effective use and enjoyment criterion, which, depending on the place where the customer is registered and where the event physically takes place, may have the effect that the place of supply shifts from a place outside, to a place within, the European Union. For B2C situations, the place-of-supply rule will remain unchanged after 2010: both admission to, and organization of, those activities will remain subject to VAT at the place where the events actually are held Services ancillary to transport Under the new Art. 5, the place of supply of services ancillary to transport, such as loading, unloading and handling of goods and similar activities provided to non-taxable persons (B2C) is the place where the services are physically carried out. Where they are provided to taxable persons (B2B), those services are subject to the general B2B place-of-supply rule, which means that the services are in principle subject to VAT at the place where the recipient is established. It will therefore no longer be necessary to determine whether or not these services are ancillary to intra-community transport of goods. The circumstance that the customer receives those services under a VAT identification number issued to him in another Member State will no longer 6. Art. 19(1) provides that, where the taxable supply of goods or services is made by a taxable person who is not established in the Member State in which the VAT is due, Member States may provide that the person liable for payment of VAT is the person to whom the goods or services are supplied. Currently, the optional reverse charge mechanism only applies to customers who are established or at least registered in the Member State(s) where the VAT is due. 7. 6 Articles have the effect that the place of supply shifts to the Member State of registration. However, where the Member States were to apply the effective use and enjoyment criterion to services ancillary to transport, many of the issues surrounding transport services (see.3.3.) would arise here as well Work on movable goods Under the new Art. 5(b), the place of supply of work on, and valuation of, movable tangible property provided to non-taxable persons (B2C) is the place where the services are physically carried out. When such services are provided to taxable persons (B2B), the general B2B place-of-supply rule applies, which means that the services are in principle subject to VAT at the place where the recipient is established. Unlike the current arrangements applicable to work on goods done within the European Union, the place of supply no longer shifts to the Member State that issued the VAT identification number under which the customer received the service, on the condition that, after the work has been completed, the goods leave the Member State in which the work was done. Even if the Member States were to apply the effective use and enjoyment criterion and that criterion would have the effect that work on goods is subject to VAT at the place where the work is physically done, recipients of those services established outside the European Union could nonetheless still prevent that VAT is charged to them in respect of work done within the European Union, in the case they import the goods into the European Union under the customs arrangement for inward-processing of goods. In the latter case, the work is subject to the zero rate under Art. 16(1)(d). Example 6 A Swiss company is only registered for VAT in Germany, where it has a place of storage for spare parts. Repairs of the spare parts are done by companies in France, Belgium and the Netherlands. Until the end of 2009, the Swiss company is not charged VAT on the repairs, provided that it receives the repair services under its German VAT identification number and, after they have been repaired, the goods leave the Member State in which the work was done. The Swiss company must, under the reverse charge mechanism, account for VAT on the value of the repair services, through its German periodic VAT return. From 1 January 2010, the repair services are in principle deemed to be supplied at the place where the customer is established (i.e. not within the European Union). However, there is a good chance that France, Belgium and the Netherlands will apply the effective use and enjoyment criterion and, under the assumption that that criterion would have the effect that work on goods is effectively used and enjoyed at the place where the work is physically done, the French company will charge French VAT, the Belgian company Belgian VAT and the Dutch company Dutch VAT to the Swiss company. Although the Swiss company can recover that VAT, it will still have to finance that amount for a certain period of time Restaurant and catering services Under the new Art. 55, the place of supply of restaurant and catering services other than those physically carried out on board ships, aircraft or trains during an intra- Community passenger transport is the place where the services are physically carried out. Some Member States, such as Belgium and France, have already applied that rule for years, which means that it has a legal basis in Community law from 1 January Restaurant and catering services that are physically supplied on board ships, aircraft or trains during an intra- Community passenger transport, 8 are deemed to be supplied under the new Art. 57(1) at the place of departure of the passenger transport, 9 which means that the placeof-supply rule applicable to catering services is identical to that applicable to goods supplied on board ships, aircraft or trains. The specific rule applicable to restaurant and catering service supplied during an intra-community passenger transport does not apply to restaurant services supplied on board, for example, buses, which means that those restaurant transactions are subject to the rules applicable to restaurant and catering transactions laid down by the new Art. 55, i.e. the place of supply is the place where the services are physically carried out. Example 7 A VIP bus travels from the Netherlands (through Belgium and France) to Spain and, during the journey, a meal is served to the passengers. The passengers enjoy an aperitif in the Netherlands, a starter in Belgium, the main course in France and dessert in Spain. From 1 January 2010, the aperitif is subject to Dutch VAT, the starter to Belgian VAT, the main course to French VAT and dessert to Spanish VAT, which means that the caterer must be registered in all four Member States and the total price for the meal must be apportioned to consumption taking place in each of the Member States involved. That apportionment will be far from easy and will even be more complex if, for example, the passengers enjoyed the main course partly in France and in Spain. Until the end of 2009, the entire meal is subject to VAT at the place where the caterer has established his business, which may not be appropriate from the perspective of the destination principle, but is very practical Hiring of means of transport Under the new Art. 56, the place of short-term hiring of means of transport is the place where the means of transport are actually put at the disposal of the customer. In this context, short-term means the continuous possession or use of the means of transport throughout a 8. For the purposes of this Article, the section of a passenger transport operation effected within the Community shall mean the section of the operation effected, without a stopover outside the Community, between the point of departure and the point of arrival of the passenger transport operation. The point of departure of a passenger transport operation shall mean the first scheduled point of passenger embarkation within the Community, where applicable after a stopover outside the Community. The point of arrival of a passenger transport operation shall mean the last scheduled point of disembarkation within the Community of passengers who embarked in the Community, where applicable before a stopover outside the Community. In respect of rental periods of more than 30 days, or 90 days for ships, the general B2B and B2C place-of-supply rules apply from 1 January 2010 until 31 December Hence, in B2B situations, the place of supply is where the recipient is established and, in B2C situations, the place where the service provider is established. From 1 January 2013, the latter rule will be amended to the effect that, as regards pleasure boats, the place of supply will be the place where the pleasure boat is actually put at the disposal of the customer, where this service is actually provided by the supplier from his place of business or a fixed establishment situated in that place and, as regards other means of transport, the place where the recipient is established or has his permanent address or usually resides. Due to those amendments, from 1 January 2010, it will no longer be cheaper for taxable persons that have no or a limited right to deduct input tax or are established in a Member State where deduction of VAT relating to car expenses is limited, to rent their cars in another EU Member State where the VAT rate is lower or VAT deduction relating to car expenses is not limited. From 1 January 2013, it will also no longer be cheaper for private individuals to hire a car in another EU Member State with a lower VAT rate Electronically supplied services From 1 January 2010, under the new Art. 58, the place of supply of electronic services supplied by taxable persons established outside the European Union to non-taxable persons (B2C) established or resident within the European Union, is the place where the customer is established or resident. From 1 January 2015, that rule will be extended to electronic services supplied by taxable persons established within the European Union. Those rules do not apply to communications between the supplier and customer via electronic mail. The amendments have the effect that, just like under the present rules, electronic services supplied by non-eu service providers in both business (B2B) and non-business (B2C) situations are subject to VAT at the place where the recipient of the service is established or resident, whereas electronic services supplied by EU service providers in non-business (B2C) situations remain subject to VAT at the place where the service provider is established until the end of 201. From 1 January 2015, the destination principle fully applies to electronic services supplied by both EU and non-eu service providers, in both B2B and B2C situations Intellectual services Under the new Art. 59, the place of supply of the following services to a non-taxable person (B2C) who is established or has his permanent address or usually resides outside the Community, is the place where that person is established or resident: (a) transfers and assignments of copyrights, patents, licences, trade marks and similar rights; (b) advertising services; (c) the services of consultants, engineers, consultancy firms, lawyers, accountants and other similar services, as well as data processing and the provision of information; (d) obligations to refrain from pursuing or exercising, in whole or in part, a business activity or a right referred to in this list; (e) banking, financial and insurance transactions including reinsurance, with the exception of the hire of safes; (f ) the supply of staff; (g) the hiring-out of movable tangible property, with the exception of all means of transport; (h) the provision of access to, and of transport or transmission through, natural gas and electricity distribution systems and the provision of other services directly linked thereto; (i) telecommunications services; (j) radio and television broadcasting services; (k) electronically supplied services, in particular those referred to in Annex II. This provision is aimed at ensuring that intellectual services supplied by EU service providers to non-business customers established or resident outside the European Union remain free of European VAT, just like they are free of European VAT under the current Art. 56. As compared to the current Art. 56, the new Art. 59 no longer includes the services of intermediaries relating to services included in the list. From 1 January 2010, the intermediary services supplied to non-taxable persons are subject to a separate rule laid down by the new Art. 6 (see.3.1.). It should, however, be noted that the Member States may apply the effective use and enjoyment criterion to the intellectual services supplied to non-eu customers, which will have the effect that the services are subject to VAT in the Member State where they are effectively used and enjoyed Telecommunications and broadcasting services From 1 January 2010, under the general B2B place-ofsupply rule laid down by the new Art., telecommunications and radio and television broadcasting services supplied to taxable persons are deemed to be supplied at the place where the customer is established. Under the general B2C place-of-supply rule laid down by the new Art. 5, telecommunications and radio and television broadcasting services supplied to non-taxable persons are deemed to be supplied at the place where the service provider is established. However, where those services are supplied by service providers established outside the European Union to non-taxable customers established or resident within the European Union, the new Art. 59b has the effect that the services are subject to 1 INTERNATIONAL VAT MONITOR JANUARY/FEBRUARY 2009 IBFD

8 Articles VAT in the Member State where the customer is established or resident. The new Art. 59b contains a compulsory effective use and enjoyment override rule in respect of telecommunications and radio and television broadcasting services supplied by non-eu suppliers to nontaxable customers established or resident within the European Union. From 1 January 2015, that situation will change to the effect that, under the then applicable new Art. 58, and just like electronic services, telecommunications and radio and television broadcasting services supplied to non-taxable persons (B2C) will be subject to VAT at the place where the customers are established or resident. On that occasion, the telecommunications and radio and television broadcasting services are removed from the new Art. 59, and Art. 59b is deleted. Consequently, from 1 January 2015, imposition of VAT on telecommunications and radio and television broadcasting services will fully be governed by the destination principle, both in B2B and B2C situations and regardless of where the service provider is established Prevention of double or non-taxation 10 The new Art. 59a contains the new effective use and enjoyment override rule, under which, in order to prevent double or non-taxation or distortion of competition, Member States may, with regard to services whose place of supply is governed by the new Arts. and 5 (the new general B2B and B2C place-of-supply rules), 56 (short-term hiring of vehicles) and 59 (intellectual services supplied to non-eu customers) consider the place of supply of any or all of those services: 11 if situated within their territory, as being situated outside the Community if the effective use and enjoyment of the services takes place there; if situated outside the Community, as being situated within their territory if the effective use and enjoyment of the services takes place there. Application of the effective use and enjoyment override rule is in principle optional to the Member States. However, until 31 December 201, Member States must apply Art. 59a(b) to telecommunications and radio and television broadcasting services supplied to non-taxable persons who are established within the European Union. Under that rule, the place of supply shifts from the place where the non-eu supplier is established to the place where the services are effectively used and enjoyed. From 1 January 2015, application of the effective use and enjoyment override rule is no longer compulsory in respect of telecommunications and radio and television broadcasting services because the place of supply shifts under all circumstances to the place where the customer is established or resident. From that date, application of the effective use and enjoyment override rule will be optional to the Member States. Currently, the compulsory effective use and enjoyment override rule also applies to telecommunications and radio and television broadcasting services and the optional override rule is limited to the intellectual services listed in the current Art. 56, and the rental of means of transport. By extending the optional effective use and enjoyment override rule to all general B2B and B2C place-ofsupply rules, the Community legislature has neutralized much of the simplification, in particular if Member States make extensive use of that option in practice. Since the option is left to the Member States, businesses will need to check in all the Member States where their services are deemed to be supplied to what extent the optional effective use and enjoyment override rule affects the actual place of supply. Currently, the majority of the Member States already apply that override rule to all or specific services listed in the current Art. 56, and to the rental of means of transport. It can reasonably be expected that even more Member States will apply that criterion from 2010 or extend its field of application. It can, in particular, be expected that almost all Member States will apply the override rule to services that come under the new general B2B place-of-supply rule laid down by the new Art., i.e. services invoiced to a party established outside the European Union, where effective use and enjoyment of the service take place within the territory of the Member State. It remains to be seen to what extent the Member States will exercise the option available to them. 5. Collection of VAT on Services 5.1. Reverse charge mechanism 12 From 1 January 2010, under the amended Art. 196, the reverse charge mechanism applies to services referred to in the new Art. which are supplied to taxable persons and non-taxable legal persons identified for VAT purposes by suppliers who are not established within the customer s Member State. In that framework, the new Art. 192a provides that, for the purposes of the liability for payment of VAT, a taxable person who has a fixed establishment within the territory of the Member State where the tax is due is to be regarded as a taxable person who is not established within that Member State when the following conditions are met: he makes a taxable supply of goods or of services within the territory of that Member State; and an establishment which the supplier has within the territory of that Member State does not intervene in that supply. The new Art. 192a is aimed at ensuring that the expression not established within the customer s Member State is interpreted in the same manner in all Member 10. New Art. 59a. 11. Member States must not apply the effective use and enjoyment criterion to electronically supplied services supplied to non-taxable persons not established within the Community. 9 Articles States. That is a good measure. For the liability to pay VAT from 1 January 2010, taxable persons will only be considered to be established in a Member State where their supplies are deemed to be made or, where they have a fixed establishment, if that establishment intervenes in the transaction. Currently, some Member States take the view that non-resident suppliers are established in their customer s Member State if they have a fixed establishment there, even if that establishment is not in any way involved in the transaction between the non-resident supplier and his customer. That view has the effect that the transaction is not subject to the reverse charge mechanism and the VAT due in the customer s Member State must be invoiced by the non-resident supplier s fixed establishment, which must also remit the tax to the tax authorities. By contrast, other Member States take the view that, provided that the fixed establishment is not involved in the transaction between the non-resident supplier and his customer, the non-resident supplier s presence in the customer s Member State does not affect the reverse charge mechanism. That difference of opinion between the Member States will be resolved from 1 January 2010 but, from that date, the debate will shift to the question under what circumstances a non-resident supplier s fixed establishment in the customer s Member State intervenes in the transaction One-stop-shop arrangements In B2B situations, all cross-border supplies of services referred to in the new Art. made by service providers who are not established in their customers Member State will be subject to the reverse charge mechanism. That mechanism can, however, not be applied in B2C situations, where the services are deemed to be supplied in the customer s Member State and the supplier is not established there. Consequently, in B2C situations, the non-resident supplier must be registered in his customer s Member State. In order to prevent that suppliers of electronic services established outside the European Union would have to register in multiple Member States in respect of their supplies made to non-taxable customers, the Member States introduced the one-stopshop arrangements on 1 July Under those arrangements, non-eu suppliers of electronic services may account for VAT in a single Member State of their choice through an electronic procedure in respect of supplies of electronic services made to non-taxable persons in all Member States, albeit at the VAT rate applicable in the individual customers Member States. In view of the amendment, which will come into effect on 1 January 2015, of the place-of-supply rules relating to electronic services provided by suppliers established within the European Union to non-taxable persons established in another Member State (see.3.9.), the scope of the onestop-shop arrangements will be extended to those EU suppliers. At the same time, the arrangements are also extended to all suppliers of telecommunications and radio and television broadcasting services who render those services to non-taxable customers established or resident within the European Union. 6. Obligation to Submit Recapitulative Statement In view of the extension of the scope of the reverse charge mechanism in respect of B2B cross-border services (see 5.1.), in particular to the group of non-taxable legal persons which are not entitled to deduct the VAT due on those services, the Member States have extended the obligation to file recapitulative statements (EC sales lists) in respect of zero-rated intra-community supplies of goods to B2B cross-border services, with effect from 1 January However, the obligation to include services in the EC sales list does not apply to services that are exempt from VAT in the Member State where they are deemed to be supplied. Consequently, from 1 January 2010, taxable persons identified for VAT purposes will have to file a monthly 13 list of the taxable persons and the non-taxable legal persons identified for VAT purposes, to whom they have supplied services for which the recipient is liable to pay the VAT, under the reverse charge mechanism. 1 In order to prevent that cross-border services escape the listing obligation, the amended Art. 21(1)(e) provides that Member States must take the measures necessary to ensure identification of every taxable person, established within their respective territory, who supplies services within the territory of another Member State for which VAT is payable solely by the recipient under the reverse charge mechanism. In view of the fact that specific services may still be exempt from VAT in specific Member States under the transitional arrangements, 15 whereas, under the normal VAT system, they are subject to VAT, the new listing obligation will have the following effects. Example 8 In 2010, a Belgian lawyer provides a service to a taxable person established in the Netherlands who is not entitled to deduct input tax, for example a hospital. Under Belgian law, services of lawyers are exempt from VAT, whereas they are subject to VAT under Dutch law. Under the new Art. 44, the Belgian lawyer s service is deemed to be supplied in the Netherlands and subject to the reverse charge mechanism. Even if, in view of its exempt supplies, the hospital was not registered until 31 December 2009, it must register from 1 January 2010 in order to account for VAT due on the service received from the Belgian lawyer. 16 Likewise, the Belgian lawyer must be registered from 1 January 2010 just for the pur- 13. 10 Articles poses of reporting the service supplied to the Dutch hospital through his sales list, for which he also needs the VAT identification number of the hospital. The result is that the Dutch hospital must account for Dutch VAT on the entire value of a service received from a non-resident service provider who was unable to deduct input VAT. Therefore, the lawyer s non-deductible input tax will be an element of his fee, which means that also the Belgian VAT element will be subject to Dutch VAT. In view of its exempt transactions, the hospital will not be able to deduct the Dutch VAT. This form of accumulation of the tax is not in line with the principles of the VAT system. Example 8a Where, in the reverse situation, a Dutch lawyer provides a service to a Belgian hospital in 2010, the place of supply is in Belgium. Since the service is exempt from VAT in Belgium, the lawyer must not include the service in his sales list, which probably would not even be possible because the Belgian hospital probably does not have a VAT identification number. The result is that the Belgian hospital does not account for Belgian VAT on the value of a service received from a non-resident service provider who was able to deduct input VAT. This form of non-taxation is not in line with the principles of the VAT system. The situation becomes even more complex in respect of services that are in principle exempt from VAT but in respect of which the supplier has the right to opt for taxation, for example financial services. Currently, only a limited number of Member States enable financial institutions established within their territory to opt for taxation in respect of financial services. 17 Even if it can be assumed that, by 1 January 2010, the option for taxation of financial services will be available to financial institutions in all Member States, and will not be restricted to specific transactions or specific categories of customers, the question still arises of whether financial institutions will be able to opt for taxation in respect of transactions that are deemed to be supplied in a Member State where their customers are established but where the financial institution is not established or even registered. In addition, the question arises of whether or not the option for taxation exercised by the non-resident service provider will affect the customer s liability to account for VAT under the reverse charge mechanism, in particular where the customers are not entitled to deduct that input tax. 7. Conclusion The new place-of-supply rules that will apply from 1 January 2010 and, subsequently, from 1 January 2011, 2013 and 2015 are just a series of amendments to the current rules. In some respects, the new rules are more logical than the current rules. However, the new rules are even more detailed than they currently are and some new concepts, such as taxable persons acting as such, short-term hiring and intervention by fixed establishments lack clarity. In addition, in respect of cross-border supplies of services, the new rules are accompanied by new administrative obligations, such as identification of certain categories of suppliers and recipients of cross-border services, and the obligation for suppliers of those services to file monthly sales lists. Also the fact that the new place-of-supply rules will come into effect in stages will result in extra costs for businesses. The only area where we can see an overall simplification is for B2B situations within the European Union. Depending on the extent to which the Member States will make use of their power to apply the effective use and enjoyment criterion, the situation for B2B transactions with recipients outside the European Union will become far more complex than it currently is. The new place-of-supply rules will only be workable in practice if the Member States restrain their current tendency to close all possible loopholes in the VAT place-of-supply rules in their current efforts to combat VAT fraud and avoidance. It would have been better if the effective use and enjoyment criterion laid down by the new Art. 59a would not have taken the form of an option which can freely be exercised by the Member States, but would have been compulsory and limited in its field of application, which would have saved taxable persons the trouble of checking to what extent each of the 27 Member States applies that criterion in practice. All businesses that are active at an international level will have to change the VAT rules in their ERP systems or accountancy packages. Hopefully, all Member States succeed in transposing the new place-of-supply and accompanying rules into their national legislation on time or, rather, adopt or publish the new legal rules at the beginning of 2009 leaving businesses sufficient time to make the necessary changes before the new system comes into effect on 1 January However, in Belgium, financial institutions may opt for taxation in respect of specific financial services, even if the customer is a taxable person established abroad and, consequently, the financial services are deemed to be supplied there. Az egyik irányelv a szolgáltatások teljesítési helyére vonatkozó szabályok módosításait tartalmazza. A módosítások célja, hogy a lehető legtöbb szolgáltatástípus a fogyasztás szerinti tagállamban adózzon. Ugyanez az irányelv arról a lehetőségről is rendelkezik, miszerint azok az adóalanyok, akik nem adóköteles vevők részére nyújtanak bizonyos szolgáltatásokat, (az egymegállós vásárlás szabályai szerint) egyetlen tagállamban teljesíthetik HÉA-bevallási kötelezettségüket az Európai Unió egészére vonatkozóan. A szolgáltatások teljesítési helyének új szabályai Az Európai Bizottságnak a közösségi HÉA-rendszer működésének javítására irányuló stratégiája szerint elvben minden szabályokkal kapcsolatos információcsere tekintetében történő módosításáról, HL L, február 20.

12 szolgáltatást a tényleges fogyasztás szerinti tagállamban kell adóztatni. 2 Következésképpen a január 1-jétől hatályos új szabályok szerint az adóalanyok javára nyújtott szolgáltatások ( B2B-szolgáltatások ) értékesítésének vélelmezett teljesítési helye a szolgáltatás igénybevevőjének székhelye. A jelenleg hatályos szabályok szerint a szolgáltatások vélelmezett teljesítési helye a szolgáltatást nyújtó személy székhelye. Azonban az általános szabály alól olyan sok kivétel létezik, hogy a gyakorlatban a legtöbb olyan szolgáltatás esetében, amelyet egyáltalán lehetséges határokon átnyúlóan nyújtani, a teljesítés vélelmezett helye már most is a szolgáltatás igénybevevőjének székhelye. A szolgáltatásnyújtás teljesítési helyének meghatározásánál az új szabályok különbséget tesznek az adóalany és nem adóalany vevő részére nyújtott szolgáltatások között. Ebben az összefüggésben azok az adóalanyok, akik nem adóköteles tevékenységeket is folytatnak, az általuk igénybe vett összes szolgáltatás vonatkozásában adóalanynak minősülnek, még akkor is, ha az adott szolgáltatásokat nem adóköteles tevékenységeikhez használják fel. Ugyanígy, a HÉA-azonosítószámmal rendelkező nem adóalany jogi személyek is adóalanynak minősülnek a teljesítési hely szabályainak alkalmazásakor. Az adóalany e új fogalmának kialakítását részben nyilván az a szándék vezérelte, hogy csökkenjenek a gazdasági élet szereplőinek a HÉA-rendszerből következő adminisztratív terhei. A nem adóalanyok részére nyújtott szolgáltatások ( B2C-szolgáltatások ) esetében a teljesítési hely általános szabályai nem változnak. A teljesítési hely továbbra is a szolgáltatásnyújtó üzleti tevékenységének székhelye marad. Ugyanakkor meglehetősen nagyszámú kivétel létezik a B2C-szolgáltatások teljesítési helyének általános szabályai alól. Bizonyos szolgáltatások esetében, függetlenül attól, hogy a szolgáltatás igénybevevője adóalany vagy nem adóalany, nem a B2B- és B2Cszolgáltatások teljesítési helyének általános szabályai, hanem különös szabályok alkalmazandók. Ha az Európai Unió területén honos adóalany olyan szolgáltatásokat vesz igénybe egy nem a tagállamában honos szolgáltatótól, amelyek után a HÉAkötelezettséget a B2B-szolgáltatások teljesítési helyének általános szabályai szerint kell megállapítani, akkor a szolgáltatások után esedékes HÉA-t a fordított adózási eljárás szerint a vevőnek kell befizetnie az adóhatóság felé január 1-jétől az Európai Unió területén honos személyek részére elektronikusan nyújtott szolgáltatások, valamint távközlési és műsorszóró szolgáltatások után esedékes HÉA-t az egymegállós vásárlás szabályai alapján a nem honos szolgáltatótól lehet beszedni. A Bizottságnak és számos tagállamnak továbbra is szándékában áll kiterjeszteni ezt a mini szabályt minden olyan vállalkozásra, amely az Európai Unió területén honos nem adóalany személyek részére határokon átnyúló értékesítéseket végez, annak érdekében, hogy az értékesítőnek ne kelljen minden olyan tagállamban HÉA-nyilvántartásba vetetnie magát, amelyben a vevői honosak. 3. Az adóalany fogalma Az új 43. cikk szerint a szolgáltatások teljesítési helyére vonatkozó szabályok alkalmazásában: azon adóalanyt, aki olyan tevékenységet vagy ügyletet is végez, amely a 2. cikk (1) bekezdésének megfelelően nem minősül adóztatandó termékértékesítésnek vagy szolgáltatásnak, adóalanynak kell tekinteni a részére nyújtott valamennyi szolgáltatás tekintetében; és azon nem adóalany jogi személyt, aki HÉA-azonosítószámmal rendelkezik, adóalanynak kell tekinteni. 2 Lásd a 2008/8 irányelv második preambulumbekezdését (lásd az 1. lábjegyzetet).

13 A 2008/8 irányelv preambuluma szerint a rendes szabályoknak megfelelően ezek a rendelkezések nem terjedhetnek ki azon szolgáltatások nyújtására, amelyeket az adóalany a saját vagy a személyzete céljaira történő felhasználásra kapott. Ennek a rendelkezésnek a gyakorlati következményei nem egyértelműek. Abban az esetben, ha az adóalany gazdasági tevékenységei mellett nem gazdasági jellegű tevékenységeket is végez, pl. más vállatok részvényeinek birtokosa anélkül, hogy akár közvetlenül, akár közvetve részt venne azok irányításában, illetve ha természetes személyként munkaszerződés keretében is tevékenykedik, akkor a részére végzett valamennyi szolgáltatásra a B2Bszolgáltatások teljesítési helyére vonatkozó szabályoknak kell vonatkozni. Így a B2B-szolgáltatások teljesítési helyére vonatkozó általános szabályok hatálya alá tartozó szolgáltatások vélelmezett teljesítési helye minden esetben a szolgáltatások igénybevevőjének székhelye lesz, tekintet nélkül arra, hogy a szolgáltatásokat a vevő a gazdasági tevékenységéhez kívánja felhasználni vagy sem. Ennélfogva a részleges adóalanyokat, pl. azokat a személyeket, akik részben munkabér ellenében részben pedig önálló szolgáltatóként tevékenykednek, szintén adóalanynak kellene tekinteni az alkalmazotti minőségükben általuk igénybe vett összes szolgáltatás vonatkozásában is. 1. példa X és Y tanárokat ugyanaz a belga iskola alkalmazza. Tanári tevékenysége mellett X önfoglalkoztató tanácsadóként is tevékenykedik, és ebben a minőségében adóalany. Y főállású alkalmazott ben, miközben az óráikra készülnek, telefonon vagy en mindketten információkat kérnek le egy olyan amerikai adatforrásból, amelynek használata ellenében évi dollár előfizetési díjat fizetnek. Az X által igénybe vett szolgáltatásnak a belga HÉA hatálya alá kell tartoznia, hiszen a B2Bszolgáltatások teljesítési helyére vonatkozó, az új 43. cikkel együttesen értelmezett általános szabályok szerint a szolgáltatások vélelmezett teljesítési helye az a hely, ahol a vevő honos. Az Y által igénybe vett szolgáltatás HÉA-mentes lesz, hiszen a vevő semmilyen gazdasági tevékenységet nem végez, következésképpen a B2Cszolgáltatások teljesítési helyére vonatkozó, az új 43. cikkel együttesen értelmezett általános szabályok szerint a szolgáltatások vélelmezett teljesítési helye a szolgáltató székhelye (az Egyesült Államok). Ha egy HÉA-azonosítószámmal rendelkező nem adóalany jogi személy, például Közösségen belüli termékbeszerzései céljára, külföldről a B2Bszolgáltatások teljesítési helyére vonatkozó általános szabályok hatálya alá tartozó szolgáltatásokat vesz igénybe, akkor a teljesítés helye minden esetben a nem adóalany jogi személy székhelye lesz, akkor is, ha a vevő semmilyen gazdasági tevékenységet nem végez. Ezeknek az új rendelkezéseknek a következetességével kapcsolatban bizonyos kérdések merülnek fel. 2. példa Az X, Y és Z önkormányzatok ugyanabban az EUtagállamban találhatók (például Belgiumban), és 2010-ben számítógépeket bérelnek egy svájci kölcsönző vállalattól. X rendelkezik HÉAazonosítószámmal, mert 2009-ben több mint euró értékben hajtott végre Közösségen belüli értékesítéseket. Y nem rendelkezik HÉAazonosítószámmal, mert 2009-ben és 2010-ben nem hajtott végre Közösségen belüli értékesítéseket, vagy, amennyiben vásárolt más tagállamokból termékeket, azok értéke nem érte el a beszerzésekre vonatkozó értékküszöböt, és Y nem választotta az adózást Közösségen belüli értékesítései után. Z, bár 2009-ben túllépte a Közösségen belüli értékesítésekre vonatkozó értékküszöböt, nem rendelkezik HÉAazonosítószámmal. Ezt a hibát 2011-ben (vagyis a számítógépek bérlése után) észreveszik és korrigálják. A B2B-szolgáltatások teljesítési helyére vonatkozó általános szabályok szerint az X önkormányzat részére történő számítógép-bérbeadást 21%-os belga HÉA terheli, amelynek visszaigénylésére X nem jogosult. Ezzel szemben az X önkormányzat részére történő számítógép-bérbeadás a B2Cszolgáltatások teljesítési helyére vonatkozó általános szabályok szerint nem tarozik a belga HÉA hatálya alá, kivéve, ha Belgium a tényleges használatra és a szolgáltatás igénybevételére vonatkozó kritériumot 3 alkalmazza (lásd: ), amit azonban jelenleg nem tesz; a bérletet svájci HÉA sem terheli, mivel Svájc oldaláról Y önkormányzat az országban nem honos vevőnek számít. 3 A jelenlegi 58. és az új 59a. cikk.

14 A teljesítési helyre vonatkozó szabályok szigorú értelmezése szerint Z-nek szintén nem kell HÉA-t fizetnie a bérleti szerződés után 2010-ben. A három önkormányzat részére nyújtott szolgáltatások egyenlőtlen kezelése elkerülhető lehetett volna, ha az új 43. cikk úgy rendelkezik, hogy a nem adóalany jogi személyeket, tekintet nélkül arra, hogy rendelkeznek-e HÉA-azonosítószámmal, adóalanynak kell tekinteni a teljesítési helyre vonatkozó szabályok alkalmazásakor. Az új 43. cikk szövegének fényében számottevő esély van arra, hogy a nem adózás elkerülése érdekében jó néhány EU-tagállam ki fogja szélesíteni a tényleges használatra és a szolgáltatás igénybevételére vonatkozóan az 59a. cikk által lefektetett kritériumot. 4. A szolgáltatások teljesítési helyének új szabályai január 1-jétől a teljesítés helyére vonatkozó európai uniós szabályok két általános szabályt fognak tartalmazni (lásd: 1. és 2.), valamint több, az általános szabályokkal szemben elsőbbséget élvező konkrét szabályt (lásd: 4.3.) A B2B-szolgáltatások teljesítése helyére vonatkozó általános szabály Az új 44. cikk értelmében az adóalany aki ilyen minőségében jár el részére nyújtott szolgáltatás teljesítési helye az a hely, ahol az adóalany gazdasági tevékenységének székhelye van, illetve ahol az a telephelye van, amelynek részére a szolgáltatást nyújtották. Érdemes megemlíteni, hogy a B2Bszolgáltatások teljesítési helyére vonatkozó általános szabály csak akkor alkalmazandó, ha a szolgáltatás igénybevevője olyan adóalany, aki ilyen minőségében jár el, vagyis ez a szabály nem vonatkozik azokra a vevőkre, akik adóalanyok ugyan, de nem ebben a minőségükben járnak el. 3. példa Ha egy Belgiumban honos, önfoglalkoztató tanácsadó 2010-ben magánörökösödési ügyben egy svácji tanácsadótól kér szaktanácsot, akkor a vevő a szolgáltatást nem adóalanyi minőségében veszi igénybe, vagyis a B2B-szolgáltatások teljesítési helyére vonatkozóan az új 44. cikkben lefektetett szabály itt nem alkalmazható, így a szolgáltatás a vevő székhelye szerinti tagállamban (Belgiumban) nem HÉA-köteles. Ha ugyanez az önfoglalkoztató, belga tanácsadó munkaszerződés keretében előadásokat tart egy svájci egyetemen, és ennek a tevékenységének valamely adózási vonatkozásával kapcsolatban kikéri egy svájci tanácsadó véleményét, akkor erre a szolgáltatásra 2010-től a B2B-szolgáltatások teljesítési helyére vonatkozóan az új 44. cikkben lefektetett szabálynak kell vonatkoznia. Ez a szabály azonban nem alkalmazandó, mivel a vevő fizetett előadóként, nem pedig adóalanyi minőségében veszi igénybe a szolgáltatást A B2C-szolgáltatások teljesítése helyére vonatkozó általános szabály Az új 45. cikk értelmében a nem adóalany részére nyújtott szolgáltatás teljesítési helye az a hely, ahol az értékesítő gazdasági tevékenységének székhelye van, illetve, amennyiben a szolgáltatást egy telephelyről nyújtja, az a hely, ahol a telephely található. 3a. példa A 3. példában az önfoglalkoztató belga tanácsadó és részmunkaidős professzor alkalmazotti minőségében egy svájci tanácsadótól kapott szaktanácsot 2010-ben. Ennek adózási következménye az volt, hogy a szolgáltatás nem tartozott a B2B-szolgáltatások teljesítési helyére vonatkozó általános szabály hatálya alá, mert a szolgáltatás igénybevevője nem adóalanyi minőségében járt el, amiből viszont az következik, hogy a szolgáltatásnak a B2C-szolgáltatások teljesítési helyére vonatkozó általános szabály hatálya alá kell tartoznia. Mindazonáltal ebben az esetben az utóbbi szabály sem alkalmazható, mert ez csak a nem adóalanyok részére nyújtott szolgáltatásokra vonatkozik, és az új 43. cikk (1) bekezdése szerint azokat a vevőket, akik független tanácsadóként is tevékenykednek, a teljesítési helyre vonatkozó szabályok alkalmazásakor adóalanynak kell tekinteni. A kérdés tehát az, hogy hol van a szolgáltatások vélelmezett teljesítési helye, ha a jogszabályok szigorú értelmezése alapján sem a B2B-, illetve B2C- szolgáltatások teljesítési helyére vonatkozó általános szabály, sem a teljesítési helyre vonatkozó valamely konkrét szabály hatálya alá nem tartoznak.

15 Talán szerencsésebb lett volna, ha az új 44. cikk így szól: Az adóalanyok részére nyújtott szolgáltatások teljesítési helye a szolgáltatásnyújtó üzleti tevékenységének székhelye. A kettős adóztatás és a nem adózás elkerülése érdekében a tagállamok rendelkezésére áll a választási lehetőség, hogy az 59a. cikk alapján a szolgáltatásokat a tényleges fogyasztás helyén adóztassák. A tényleges használatra és a szolgáltatás igénybevételére vonatkozó kritérium azonban csak azokra a szolgáltatásokra alkalmazható, amelyek értékesítésére az új 44. és 45. (valamint 56. és 59.) cikk vonatkozik, ami tehát azt is jelenti, hogy az új 59. cikk nem tudja betölteni a teljesítési hely két általános szabálya között keletkezett űrt Kivételek A B2B-, illetve B2C-szolgáltatások teljesítési helyére vonatkozó általános szabály számos szolgáltatásra nem vonatkozik. A kivételek egy része csak a B2C-szolgáltatások esetében alkalmazandó: közvetítői szolgáltatások (lásd: ); árufuvarozás (lásd: ) és az ehhez járulékosan kapcsolódó szolgáltatások (lásd: ); termékeken végzett munka (lásd: ); valamint elektronikusan nyújtott (lásd: ) és szellemi szolgáltatások (lásd: és ). A kivételek másik része a B2B- és B2Cszolgáltatások esetében egyaránt alkalmazandó: ingatlanhoz kapcsolódó szolgáltatások (lásd: ); személyszállítás (lásd: ); belépőjegyek értékesítése és rendezvényszervezés (lásd: ); éttermi szolgáltatások (lásd: ); valamint gépjárművek rövid távú bérbeadása (lásd: ). A teljesítési helyre vonatkozó szabályokat a tényleges használatra és a szolgáltatás igénybevételére vonatkozó kritérium egészíti ki, amelynek eredményeként a szolgáltatások tényleges használatának és igénybevételének helyétől függően a szolgáltatások teljesítési helye az egyik tagállam területéről az Európai Unión kívüli helyre, vagy az Európai Unión kívüli helyről az egyik tagállam területére tevődik át ( ) Közvetítői szolgáltatások Az új 46. cikk értelmében a nem adóalanyok részére, más személy nevében és javára eljáró közvetítő által nyújtott szolgáltatás teljesítési helye az a hely, ahol a közvetített ügyletet ezen irányelv rendelkezéseivel összhangban teljesítik. Ez a kivétel csak a B2C-szolgáltatásokra vonatkozik, és a január 1-jétől hatályos szabály egyenértékű a jelenleg alkalmazandóval. A B2B-típusú közvetítői szolgáltatásokra a B2B-szolgáltatások teljesítési helyének általános szabálya vonatkozik, tehát a teljesítés helye a szolgáltatás igénybevevőjének székhelye. Ennélfogva január 1-jétől a teljesítés helye nem változik meg annak a HÉAazonosítószámnak az okán, amely alapján a megrendelő a közvetítői szolgáltatást igénybe vette Ingatlanhoz kapcsolódó szolgáltatások január 1-jét követően az ingatlanhoz kapcsolódó szolgáltatások értékesítésének teljesítési helye B2B- és B2C-szolgáltatások esetében egyaránt továbbra is az a hely, ahol az ingatlan elhelyezkedik.

16 Ez a szabály vonatkozik az ingatlanok építésére és karbantartására továbbá, többek között, az alábbi szolgáltatásokra: szakértők és ingatlanügynökök szolgáltatásai; szállásadás a szállodaiparban vagy más hasonló funkciót ellátó ágazatban, például nyári táborokban vagy a kempingként történő felhasználásra alkalmassá tett területeken; ingatlan használati jogának átadása; az építési munkálatok előkészítésével és koordinálásával kapcsolatos szolgáltatások, például az építészek és építéskivitelező cégek szolgáltatásai. 4 Az az 1. tagállamban honos ingatlanügynök, aki a 2. tagállamban lévő ingatlan bérbeadásához nyújt segítséget, a tulajdonos és a bérlő tartózkodási helyétől függetlenül a 2. tagállamban alkalmazott HÉA-t köteles felszámítani, mert az épület ennek a tagállamnak a területén van. Abban az esetben viszont, ha a megrendelő a 2. tagállamban honos adóalany, és a 2. tagállam élt azzal a lehetőséggel, hogy a fordított adózási eljárást olyan szolgáltatásokra is kiterjessze, amelyek esetében alkalmazása nem kötelező, az ingatlanügynöknek nem kell a 2. tagállamban alkalmazott HÉA-t felszámítania Fuvarozási szolgáltatások Személyszállítás Az új 48. bekezdés szerint a személyszállítás teljesítési helye továbbra is az a hely, ahol a megtett útszakasszal arányosan a személyszállítást ténylegesen teljesítik. Ez a szabály a B2Bés B2C-szolgáltatások esetében egyaránt alkalmazandó. A Bizottság a vállalkozások adminisztratív terheinek csökkentésére irányuló szándéka ellenére sem tudta eltörölni ezt a szabályt, amelyet pedig a gyakorlatban szinte lehetetlen helyesen alkalmazni. Ennél még akkor is kezelhetőbb lenne a 4 Az új 46. cikk. helyzet, ha a légi és vízi úton történő nemzetközi személyszállításra vonatkozó nulla kulcsot terjesztették volna ki a szárazföldön történő nemzetközi személyszállításra is. Ebben az esetben csak az országon belüli személyszállítás után kellene HÉA-t fizetni, ami rendszerint nem okoz problémát. B2C- típusú árufuvarozás Az új 49. bekezdés szerint a nem adóalanyok részére nyújtott árufuvarozás teljesítési helye az a hely, ahol a megtett útszakasszal arányosan a fuvarozást ténylegesen teljesítik. A Közösségen belüli árufuvarozás azonban kivételt képez ez alól a szabály alól. Az új 50. bekezdés szerint a nem adóalany személyek részére nyújtott, Közösségen belüli árufuvarozás teljesítési helye a fuvarozás indulási helye. A B2C-típusú árufuvarozás szabályai nem változnak január 1-jével. A jelenlegi szabályokkal megegyezően a fuvarozóvállalatoknak csupán egy további HÉA-azonosítószámmal kell rendelkezniük az olyan Közösségen belüli árufuvarozások esetében, amelyek indulási helye eltér attól a tagállamtól, amelyben a székhelyük van. B2B-típusú árufuvarozás A B2B-típusú árufuvarozásra a B2Bszolgáltatások teljesítési helyének általános szabálya vonatkozik, tehát minden fuvarozási szolgáltatás ott HÉAköteles, ahol a szolgáltatás igénybevevőjének székhelye van. A Közösségen belüli árufuvarozás esetében annak a HÉAazonosítószámnak, amely alapján a megrendelő a szolgáltatást igénybe veszi, többé nincs hatása a teljesítés helyére. Következésképpen, ha a fuvarozóvállalat és megrendelője ugyanabban a tagállamban honos, a fuvarozóvállalatnak elvben fel kell számítania megrendelőjének a HÉA-t, függetlenül attól, hogy a fuvarozásra a tagállam területén belül, illetve az Európai Unió

17 területén belül vagy kívül kerül sor. Ez pedig azt jelenti, hogy a megrendelő a jövőben nem kerülheti el a Közösségen belüli árufuvarozás utáni HÉA-fizetést azzal, hogy egy másik tagállam által a részére kiutalt HÉA-azonosítószámot használ. Amennyiben az Európai Unió területére történő termékimporthoz vagy az Unió területéről történő termékexporthoz kapcsolódik, a fuvarozási szolgáltatás a nulla kulcs alá tartozik. Másrészről viszont az Európai Unió területén nyilvántartásba nem vett vállalkozás megrendelésére végzett Közösségen belüli árufuvarozás vonatkozásában január 1-jétől már nem lesz alkalmazható az a szabály, amely alapján a teljesítés helye a fuvarozás indulási helye. A fuvarozási szolgáltatások Európai Unióban honos, és az előzetesen felszámított HÉA levonására nem jogosult igénybevevői esetében a teljesítési hely új szabályai magasabb költséget fognak eredményezni, kivéve, ha a székhelyük szerinti tagállam a tényleges használatra és a szolgáltatás igénybevételére vonatkozóan az 59a. cikk által lefektetett kritériumot alkalmazza. Azért lesznek magasabbak a költségek, mert január 1-jétől minden fuvarozási szolgáltatás abban a tagállamban lesz HÉA-köteles, amelyben a szolgáltatás igénybevevőjének székhelye van, és a nulla kulcs csak a termékek Európai Unióba történő importálása, illetve az Unióból történő exportálása esetén lesz alkalmazható. 4. példa Annak az Európai Unió valamely tagállamában honos múzeumnak, amely 2010-ben kiállítási tárgyakat ad kölcsön, és két Európai Unión kívüli ország között fuvaroztatja azokat, a fuvarozóvállalat fel fogja számítani a HÉA-t a fuvarozási szolgáltatásokról kiállított számlán, amennyiben a múzeummal azonos tagállamban honos, illetve a múzeumnak a fordított adózási eljárás alapján kell rendeznie a HÉA-kötelezettséget, ha a fuvarozóvállalat székhelye egy másik tagállamban van. Feltételezve, hogy a múzeum által nyújtott szolgáltatások a 132. cikk (1) bekezdése alapján HÉA-mentességet élveznek, ez a HÉA nem lesz levonható. Abban az esetben viszont, ha az árufuvarozásra a szóban forgó tagállam a tényleges használatra és a szolgáltatás igénybevételére vonatkozóan az 59a. cikk által lefektetett kritériumot alkalmazza, akkor a teljesítés helye az Európai Unió területén kívülre kerül, és a múzeumnak legalábbis az Unióban nem kell HÉA-t fizetnie. Az Európai Unió területén kívül honos adóalanyok számára a tényleges használatra és a szolgáltatás igénybevételére vonatkozó kritérium ennél drámaibb következményekkel jár, amelyek a következő példán keresztül jól érzékeltethetők. 5. példa Egy német fuvarozóvállalat egy svájci vállalkozás megbízásából közúton termékeket fuvaroz Németországból Portugáliába. A svájci vállalkozás csak Portugáliában rendelkezik HÉAazonosítószámmal, mert van ott egy raktára, és nyilvántartásba kellett vetetnie magát annak érdekében, hogy Közösségen belüli termékértékesítéseit ott vallhassa be, illetve Közösségen belüli termékbeszerzései után ott fizethesse meg a HÉA-t, ahol a raktára található. A raktár nem minősül telephelynek, mivel beszerzési és értékesítési tevékenységek itt nem folynak végéig a svájci vállalat a fuvarozási szolgáltatásokat portugál HÉA-azonosítószáma alapján veszi igénybe, így a német fuvarozóvállalatnak nem kell HÉA-t felszámítania a szolgáltatásról kiállított számlán. A svájci cég a Közösségen belüli árufuvarozás után esedékes portugál HÉA-t a fordított adózási eljárás alapján Portugáliában benyújtott időszaki HÉAbevallásaiban rendezi. Ha a svájci cég nem adta volna meg portugál HÉA-azonosítószámát a német fuvarozóvállalatnak, akkor a Közösségen belüli árufuvarozás a német HÉA hatálya alátartozott volna (hiszen az árufuvarozás indulási országa Németország), és a fuvarozóvállalat felszámította volna ezt a HÉA-t svájci megrendelőjének a szolgáltatásról kiállított számlákon január 1-jétől az új 44. cikk értelmében a Németországból Portugáliába irányuló Közösségen belüli árufuvarozás teljesítési helye az Európai Unión kívül lesz, nevezetesen Svájcban, ahol a szolgáltatás igénybevevőjének székhelye van, kivéve, ha azok a tagállamok, amelyek területén keresztül a fuvarozás ténylegesen megvalósul (Németország, Franciaország, Spanyolország és Portugália) a tényleges használatra és a szolgáltatás igénybevételére vonatkozóan az 59a. cikk által lefektetett kritériumot alkalmazzák. Az utóbbi esetben a fuvarozási művelet a német, francia, spanyol és portugál HÉA hatálya alá fog tartozni, a német fuvarozóvállalatnak pedig HÉAnyilvántartásba kell vetetnie magát ezekben a tagállamokban, és az egyes tagállamokban

18 fizetendő HÉA-t kell felszámítania svájci megrendelőjének, kivéve, ha ez utóbbinak kell megfizetnie a HÉA-t a jelenleg hatályos 294. cikk (1) bekezdése alapján választható fordított adózási szabály szerint. 5 Ha a német fuvarozóvállalatnak kell megfizetnie a HÉA-t a négy érintett tagállamban, és rendelkezik is HÉA-azonosítószámmal ezekben, még akkor is megválaszolatlan marad a kérdés, hogy minek alapján kell megosztani a négy tagállam között a fuvarozás teljes ellenértékét. A legkézenfekvőbb megoldás az lenne, ha a fuvarozási díj elosztása az egyes tagállamokban megtett távolságokkal arányosan történne január 1-jétől azonban ez a kritérium hivatalosan csak a személyszállítás és a B2C-típusú árufuvarozás esetében alkalmazható. Még ha egyértelmű volna is, hogyan kell a teljes fuvarozási díjat megosztani az egyes tagállamok között, a német fuvarozóvállalatnak gyakorlati okokból akkor is külön számlákat kellene kiállítania a különböző tagállamokban végzett értékesítésről, mivel a svájci vállalatnak a tizenharmadik irányelvben lefektetett eljárás alapján mindegyik tagállamban külön kellene visszaigényelnie a HÉA-t. Az adó-visszatérítési eljárás nem változik 2010, január 1-jével, ami azt jelenti, hogy a svájci vállalkozásnak adó-visszaigénylése mellé az azt alátámasztó eredeti számlákat is mellékelnie kell. Aligha valószínű, hogy az európai jogalkotó szándékosan tette volna ilyen bonyolulttá a HÉA-rendszert az Unió területén kívül honos, Közösségen belüli fuvarozási szolgáltatásokat igénybe vevő cégek számára. Az egyik lehetséges gyakorlati megoldás, amely ráadásul a visszaéléseknek is elejét venné, hogy a tagállamok tartózkodnak az új 59a. cikk alkalmazásától, ha a szolgáltatás igénybevevője jogosult a HÉA teljes összegének visszatérítésére. Sőt a fuvarozási szolgáltatások vonatkozásában azt is ki lehetne mondani, hogy a tényleges használatnak és a szolgáltatás igénybevételének helye az a hely, ahol a szolgáltatásnyújtó székhelye 5 A 194. cikk (1) bekezdése szerint, ha az adóztatandó termékértékesítést vagy szolgáltatásnyújtást nem abban a tagállamban honos adóalany teljesíti, amelyikben a HÉA-t meg kell fizetni, a tagállamok előírhatják, hogy az adófizetésre a termékértékesítés beszerzője illetve a szolgáltatás igénybevevője legyen kötelezett. Jelenleg a választható fordított adózási szabály csak azokra a megrendelőkre vonatkozik, akiknek a székhelye a HÉA esedékessége szerinti tagállam(ok)ban van, vagy legalább HÉAnyilvántartásban vannak ott. vagy állandó telephelye van, amelyről a szolgáltatást nyújtja, más szóval nem az(ok) a hely(ek), ahol a fuvarozás valójában történik Rendezvényekhez kapcsolódó szolgáltatások Az új 53. bekezdés értelmében a kulturális, a művészeti, a sport-, a tudományos, az oktatási, a szórakoztatási vagy hasonló tevékenységekkel mint például vásárok vagy kiállítások kapcsolatos szolgáltatások, valamint az ezekhez járulékosan kapcsolódó szolgáltatások nyújtásának beleértve az ezen tevékenységek szervezőinek szolgáltatásnyújtását is teljesítési helye az a hely, ahol ezeket a tevékenységeket ténylegesen végzik. Ez a szabály gyakorlatilag azonos a jelenleg hatályossal, amely a B2B- és B2C-szolgáltatásokra 2010 végéig egyaránt alkalmazandó marad január 1-jétől kezdődően különbséget kell tenni a B2B- és B2C-szolgáltatások között, valamint a B2B-szolgáltatásokon belül a fent említett rendezvények belépőjegyeinek árusítása és szervezése között. Ami a B2B-szolgáltatásokat illeti, csak a kulturális, a művészeti, a sport-, a tudományos, az oktatási, a szórakoztatási vagy hasonló tevékenységek mint például vásárok vagy kiállítások belépőjegyeinek értékesítése és az ehhez járulékosan kapcsolódó szolgáltatások után kell ott megfizetni a HÉA-t, ahol ezeket a tevékenységeket ténylegesen végzik január 11-étől az ilyen rendezvények szervezőinek tevékenységei és az ezekhez járulékosan kapcsolódó tevékenységek a B2Bszolgáltatások teljesítési helyének általános szabálya alá fognak tartozni, tehát a teljesítés helye a szolgáltatás igénybevevőjének székhelye lesz. Mindazonáltal a kulturális, a művészeti, a sport-, a tudományos, az oktatási, a szórakoztatási vagy hasonló tevékenységek szervezői esetében a tagállamok alkalmazhatják a tényleges használatra és a szolgáltatás

19 igénybevételére vonatkozó kritériumot, amelynek attól függően, hogy hol van HÉA-nyilvántartásba véve a megrendelő, és ténylegesen hol történik az esemény az lehet a következménye, hogy a teljesítés helye az Európai Unió területén kívülről az Unió területén belülre tevődik át. A B2C-szolgáltatások vonatkozásában a teljesítési helyre vonatkozó szabály nem változik 2010 után: az ebbe a kategóriába tartozó tevékenységek szervezése és belépőjegyeinek értékesítése egyaránt továbbra is azon a helyen lesz HÉAköteles, ahol az eseményekre ténylegesen sor kerül A fuvarozáshoz járulékosan kapcsolódó szolgáltatások Az új 54. bekezdés szerint a fuvarozáshoz és személyszállításhoz járulékosan kapcsolódó, nem adóalanyok részére nyújtott (B2C-)szolgáltatások, így a be-, kiés átrakodás és hasonló tevékenységek teljesítési helye az a hely, ahol a szolgáltatást ténylegesen teljesítették. Amennyiben adóalanyok részére nyújtják őket (B2B), ezek a szolgáltatások a B2Bszolgáltatások teljesítési helyére vonatkozó általános szabály hatálya alá tartoznak, vagyis teljesítési helyük elvben az a hely, ahol az igénybevevő székhelye van. Ennélfogva többé nem lesz szükség annak eldöntésére, hogy ezek a szolgáltatások a Közösségen belüli árufuvarozáshoz járulékosan kapcsolódó szolgáltatások-e. Az a körülmény, hogy a megrendelő ezeket a szolgáltatásokat egy másik tagállam által a számára kiutalt HÉA-azonosítószám alatt veszi igénybe, többé nem eredményezi a teljesítés helyének a HÉA-nyilvántartás szerinti tagállamba történő átkerülését. Mindazonáltal, ha a tagállamok a tényleges használatra és a szolgáltatás igénybevételére vonatkozó kritériumot alkalmazzák a fuvarozáshoz járulékosan kapcsolódó szolgáltatásokra, akkor a fuvarozási szolgáltatásokkal kapcsolatos kérdések közül több itt is felmerül. 6 Az új 54. cikk Ingóságokon végzett munka Az új 54. bekezdés b) pontja szerint az ingóságok értékbecslése és az ezeken végzett munka ha nem adóalanyok részére végzik (B2C) teljesítési helye az a hely, ahol a szolgáltatást ténylegesen teljesítették. Amikor ezeket a szolgáltatásokat adóalanyok részére nyújtják (B2B), arra a B2B-értékesítések teljesítési helyének általános szabályai vonatkoznak, vagyis a szolgáltatás elvben ott lesz HÉA-köteles, ahol az igénybevevőjének székhelye van. Az ingóságokon az Európai Unió területén belül végzett munka jelenleg hatályos szabályaival ellentétben a teljesítés helye nem kerül át abba a tagállamba, amely kibocsátotta azt a HÉA-azonosítószámot, amely alatt a megrendelő a szolgáltatást igénybe vette, amennyiben a munka elvégézése után a termékek elhagyják azt a tagállamot, amelyben a munkát elvégezték. Még ha a tagállamok a tényleges használatra és a szolgáltatás igénybevételére vonatkozó kritériumot alkalmaznák is, és ennek az lenne a következménye, hogy a termékeken végzett munka ott lenne HÉA-köteles, ahol a munkát ténylegesen elvégzik, az ilyen szolgáltatások Európa Unión kívüli igénybevevői akkor is elkerülhetnék, hogy HÉA-t számítsanak fel nekik az Európai Unióban elvégzett munka után, ha a belfőldi megmunkálásra vonatkozó vámszabályok szerint importálják a termékeket az Európai Unióba. Utóbbi esetben a munka a 146. cikk (1) bek d) pontja alapján a nulla kulcs szerint adózik. 6. példa Egy svájci vállalat kizárólag Németországban, ahol pótalkatrészraktárt tart fenn, szerepel a HÉAnyilvántartásban. Az alkatrészeket francia, belga és holland cégek javítják ig a javítások után nem számítanak fel HÉA-t a svájci cégnek, ha a szolgáltatást német HÉA-azonosítószáma alatt veszi igénybe, és a termékek a javítás után elhagyatják a tagállamot, ahol a munkát végezték rajtuk. A svájci vállalatnak a fordított adózási eljárás értelmében németországi időszaki HÉAbevallásában kell rendeznie a javítási szolgáltatások után esedékes HÉA-t január 1-jétől a javítási szolgáltatások vélelmezett teljesítési helye elvben az a hely, ahol a

20 megrendelő székhelye van (azaz jelen esetben az Európai Unió területén kívül). Jó esély van azonban arra, hogy Franciaország, Belgium és Hollandia a tényleges használatra és a szolgáltatás igénybevételére vonatkozó kritériumot fogja alkalmazni, és feltételezve, hogy a kritériumnak az a következménye, hogy a termékeken végzett munka tényleges használatára és a szolgáltatás igénybevételére ott kerül sor, ahol a munkát ténylegesen elvégzik, a francia cég francia HÉA-t, a belga cég belga HÉA-t, a holland cég pedig holland HÉA-t számolna fel a svájci vállalatnak. Bár a svájci vállalat ezt a HÉA-t visszaigényelheti, az adóterhet bizonyos időre mégis finanszíroznia kell Éttermi és vendéglátóipari szolgáltatások Az új 55. cikk értelmében az éttermi és vendéglátóipari szolgáltatások teljesítési helye az a hely, ahol ezeket a szolgáltatásokat ténylegesen nyújtják, a hajók, repülőgépek és vonatok fedélzetén történő Közösségen belüli személyszállítás során ténylegesen végzett szolgáltatások kivételével. Egyes tagállamok, pl. Belgium és Franciaország már évek óta ezt a szabályt alkalmazzák, ami azt jelenti, hogy január 1-jétől jogalappal rendelkezik a közösségi jogban. A hajók, repülőgépek és vonatok fedélzetén történő Közösségen belüli személyszállítás során nyújtott éttermi és vendéglátóipari szolgáltatások 7 vélelmezett teljesítési helye az új 57. cikk (1) bekezdése szerint a személyszállítás indulási helye 8, vagyis a vendéglátóipari szolgáltatások teljesítési helyére vonatkozó szabály azonos azzal, amely a hajók, repülőgépek és vonatok fedélzetén történő termékértékesítésekre is alkalmazandó. 7 Ennek a cikknek az alkalmazásában a a személyszállítás Közösségen belül lebonyolított szakasza a személyszállításnak azon, a Közösségen kívül meg nem szakított szakasza, amely a személyszállítás indulási és érkezési helye között történik. A személyszállítás indulási helye az a Közösségen belüli első felszállóhely, amelyet az utasok számára a Közösségben biztosítanak, adott esetben a Közösségen kívüli megszakítást követően. A személyszállítás érkezési helye az a Közösségen belüli utolsó leszállóhely, amelyet a Közösségen belül felszállt utasok számára biztosítanak, adott esetben a Közösségen kívüli megszakítást megelőzően. Oda-vissza út esetén a visszautat külön útnak kell tekinteni. 8 Az új 57. cikk. A Közösségen belüli személyszállítás során nyújtott éttermi és vendéglátóipari szolgáltatásokra alkalmazandó különös szabály nem vonatkozik azokra az éttermi szolgáltatásokra, amelyeket például buszokon nyújtanak, így az ilyen éttermi ügyletek az éttermi és vendéglátóipari szolgáltatásokra vonatkozóan az új 55. cikkben lefektetett szabályok hatálya alá tartoznak, vagyis a teljesítésük helye az a hely, ahol a szolgáltatást ténylegesen teljesítették. 7. példa Egy VIP-busz Hollandiából (Belgiumon és Franciaországon) keresztül Spanyolországba közlekedik, és az utazás során az utasoknak egy étkezést is biztosítanak. Hollandiában aperitifet, Belgiumban előételt, Franciaországban főételt, Spanyolországban pedig desszertet szolgálnak fel január 1-jétől az aperitif a holland, az előétel a belga, a főétel a francia, a desszert pedig a spanyol HÉA hatálya alá tartozik, ami azt jelenti, hogy a vendéglátóipari szolgáltatás nyújtójának mind a négy tagállamban HÉA-nyilvántartásban kell lennie, és az étkezés teljes árát fel kell osztani az egyes érintett tagállamokban történő fogyasztás szerint. A felosztás egyáltalán nem lesz egyszerű, sőt tovább bonyolódik, ha az utasok a főételt részben Franciaország, részben pedig Spanyolország területén fogyasztják el végéig az egész étkezés után abban a tagállamban kell megfizetni a HÉA-t, amelyben a vendéglátóipari szolgáltató gazdasági tevékenységének székhelye van, ami a célállomás alapelv szempontjából lehet, hogy nem megfelelő, viszont igen praktikus megoldás Közlekedési eszközök bérbeadása Az új 56. cikk értelmében a közlekedési eszközök rövid távú bérbeadásának helye az a hely, ahol a közlekedési eszközt ténylegesen a megrendelő rendelkezésére bocsátják. Ebben az összefüggésben a a rövid távú kifejezés a közlekedési eszköz folyamatos, harminc illetve hajók esetében nem több mint kilencven napos időszakot meg nem haladó birtoklását vagy használatát jelenti. A harminc illetve hajók esetében kilencven napot meghaladó bérleti időszakokra január 1-je és 2012.
